Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into by and between Apex Apparel Co. (“Company”) and the Affiliate (“Affiliate”), effective as of the date of the Affiliate’s acceptance into the Apex Apparel Co. Affiliate Program.

By signing up as an affiliate, you agree to the terms and conditions outlined below.

1. Program Overview

Apex Apparel Co. provides affiliates the opportunity to earn commissions by promoting and referring sales to the Apex Apparel Co. website. Affiliates earn 10% commission for each successful sale referred through their unique affiliate link.

2. Commission Structure

• Affiliates will earn 10% of the net sale amount (excluding taxes, shipping, or discounts).
• Commissions will be tracked and reported through Apex Apparel Co.'s affiliate tracking platform.
• Commission payments will be issued once the Affiliate’s total earned commissions reach a minimum threshold of $100.
  • For example: If the Affiliate earns $25 in commissions in Month 1 and $75 in commissions in Month 2, a payout will occur at the end of Month 2.

3. Payment Terms

• Payments will be made monthly, within 7 business days of the end of the calendar month, provided the $100 minimum threshold has been met.
• Payments will be issued via [Payment Method - e.g., PayPal, Bank Transfer], as specified by the Affiliate during signup.
• If the Affiliate does not meet the $100 threshold in a given month, the balance will roll over to the next month until the threshold is met.

4. Affiliate Responsibilities

• Affiliates agree to use only approved marketing materials, links, and assets provided by Apex Apparel Co.
• Affiliates must not engage in any fraudulent activity, spam, or unethical promotion methods to generate sales.
• Affiliates are responsible for maintaining the accuracy of their contact and payment information.

5. Restrictions

• Affiliates are prohibited from bidding on Apex Apparel Co.’s branded keywords, trademarks, or misrepresenting the Company.
• Affiliates must not use any misleading claims, false advertising, or defamatory content when promoting Apex Apparel Co.
• Affiliates must comply with all applicable laws and regulations in their promotional activities.

6. Termination

• Either party may terminate this Agreement at any time with written notice.
• Apex Apparel Co. reserves the right to terminate the Affiliate’s participation immediately if the Affiliate violates this Agreement or engages in unethical or prohibited behavior.
• Upon termination, any unpaid commissions below the $100 threshold will be forfeited.

7. Intellectual Property

• Affiliates are granted a limited, non-exclusive license to use Apex Apparel Co.’s name, logo, and promotional materials for the sole purpose of promoting the program.
• All intellectual property rights remain the sole property of Apex Apparel Co.

8. Disclaimer

Apex Apparel Co. makes no guarantees regarding the Affiliate’s income potential. Commissions are earned solely based on successful sales referred by the Affiliate.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country].

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings related to the Affiliate Program.

Acceptance of Agreement

By signing up and participating in the Apex Apparel Co. Affiliate Program, you agree to the terms outlined in this Agreement.
